TERMS OF SERVICE

1. Eligibility

You represent and warrant that:

• You are at least 18 years old, or have obtained valid parental or legal guardian consent;
• You have the legal capacity to enter into a binding agreement; and
• You will comply with these Terms and all applicable laws.

The Service is not intended for children under 13.

2. Description of the Service

Admission Focus provides tools and services that may include:

• AI-assisted drafting of Statements of Purpose (SOPs) and related materials;
• SOP diagnostic feedback and readiness insights;
• Application evaluation tools;
• Matching and introduction to educational institutions (where you opt in);
• Paid content generation services.

The Service provides drafting assistance and analytical tools only. It does not provide legal, admissions, immigration, financial, or professional advice.

3. AI-Generated and Assisted Content

You acknowledge that:

• Content may be generated or assisted by artificial intelligence;
• Outputs may contain inaccuracies, omissions, generic phrasing, or unintended similarities to other content;
• AI-generated content is provided for drafting and assistance purposes only.

You are solely responsible for:

• Reviewing and editing any content;
• Ensuring compliance with institutional policies;
• Determining whether and how to disclose AI assistance;
• Any submission made to an academic institution.

Admission Focus makes no guarantee of originality, uniqueness, or institutional acceptance.

4. Paid SOP Generation Services

If you purchase a paid service:

• You are paying for drafting assistance and analysis only;
• Delivery occurs when draft content or feedback is made available in your account or delivered electronically;
• We do not guarantee admissions outcomes, scholarships, interviews, or acceptance;
• You remain fully responsible for reviewing and finalizing all content before submission.

All fees are for digital services and intellectual effort rendered.

5. No Admissions Guarantee

Admission Focus makes no representations or guarantees regarding:

• Admission to any academic program;
• Improved admissions probability;
• Institutional acceptance of AI-assisted materials;
• Compliance with institutional academic integrity policies.

Use of the Service does not imply endorsement by any educational institution.

6. User Responsibility & Academic Integrity

You agree that:

• You are solely responsible for how content is used;
• You will comply with institutional rules and disclosure requirements;
• You assume full responsibility for submissions made using or derived from the Service.

Admission Focus shall not be liable for admissions decisions, academic penalties, institutional actions, or rejections.

7. User Content

You retain ownership of content you upload.

By submitting content, you grant Admission Focus a limited, non-exclusive license to process and analyze that content to provide the Service. You also grant us the right to retain and use anonymized and aggregated data derived from your content for product improvement, benchmarking, and analytics. Identifying or personal content is used only to provide the Service.

If you opt in to receive communications from educational institutions, you authorize us to share certain profile information consistent with our Privacy Policy.

8. Lead Matching & Institutional Contact

If you choose to opt in:

• We may share your name, email, degree level, target program and term, career path, and application progress milestones with educational institutions;
• We do not share your essay text or uploaded documents;
• Institutions may contact you regarding academic opportunities.

You can withdraw consent at any time from your account settings. We do not control and are not responsible for communications from third-party institutions once your information has been shared with your consent. See our Privacy Policy for full details.

9. Third-Party Providers

The Service relies on third-party providers, including AI providers, hosting services, and payment processors.

We are not responsible for:

• Interruptions caused by third-party systems;
• Errors or downtime outside our reasonable control;
• Acts or omissions of third-party providers.

10. Payments, Billing, and Refund Policy

All services are digital.

By purchasing, you agree that:

• Fees are due at the time of purchase;
• Service delivery occurs upon generation or delivery of content;
• All sales are final once content has been generated or delivered.

Refunds may be issued solely at our discretion prior to service delivery.

Chargebacks initiated after delivery may result in account suspension.

For consumers in the European Economic Area and the United Kingdom: digital content begins to be generated as soon as you complete your purchase. By completing your purchase, you expressly consent to immediate delivery of the digital content and acknowledge that you lose your statutory 14-day right of withdrawal once delivery has begun.

11. Intellectual Property

All rights in the Service, including software, branding, systems, workflows, and proprietary methodologies, are owned by Admission Focus.

You may use generated drafts for personal application purposes only.

You may not:

• Resell, redistribute, or commercially exploit the Service;
• Reverse-engineer or replicate proprietary workflows.

We do not guarantee copyright eligibility of AI-assisted content in any jurisdiction.

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

12. Prohibited Conduct

You agree not to:

• Use the Service for unlawful, deceptive, or fraudulent purposes;
• Misrepresent authorship where disclosure is required;
• Interfere with or disrupt the Service;
• Attempt to extract proprietary system logic or reverse engineer;
• Violate third-party rights.

We may suspend or terminate accounts for violations.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADMISSION FOCUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ADMISSION FOCUS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES;
• TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ADMISSION FOCUS IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

This includes claims related to admissions decisions, academic outcomes, use of AI-generated content, or institutional communications.

15. Indemnification

You agree to indemnify, defend, and hold harmless Admission Focus and its officers, directors, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service;
• Your submissions to institutions;
• Your violation of applicable laws or institutional rules;
• Your breach of these Terms.

16. Arbitration & Class Action Waiver

Binding Arbitration

Except where prohibited by law, disputes arising from these Terms or the Service shall be resolved by binding arbitration administered in the United States.

Class Action Waiver

You agree that disputes shall be brought solely on an individual basis and not as part of a class, collective, or representative action.

Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to: legal@admissionfocus.com

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Where arbitration does not apply, exclusive jurisdiction shall lie in the state or federal courts located in Delaware.

18. Termination

We may suspend or terminate access to the Service at any time for violations of these Terms or misuse of the Service.

Termination does not affect accrued rights, disclaimers, or liability limitations.

19. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

20. Export Controls & Sanctions

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions or embargoes (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any U.S. government restricted-party list. You agree not to use the Service in violation of any applicable export control or sanctions law.

21. Intellectual Property Infringement Notices

If you believe content on the Service infringes your intellectual property rights, please send a notice to legal@admissionfocus.com that includes:

• A description of the work you claim is infringed;
• A description of where the allegedly infringing content is located on the Service;
• Your contact information;
• A statement that you have a good-faith belief the use is unauthorized; and
• A statement, made under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the rights holder.

We will review notices and take appropriate action, which may include removing content or suspending accounts.

22. Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, labor disputes, internet or infrastructure outages, or third-party service failures.

23. Notice & Electronic Communications

You consent to receive communications from us electronically, including by email or through the Service.

Notices to us must be sent to legal@admissionfocus.com. Notices to you may be sent to the email address associated with your account or posted within the Service, and are considered delivered when sent or posted.

24. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets without notice to you.

25. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to be enforceable, and the remaining provisions shall remain in full force and effect.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Admission Focus regarding the Service and supersede any prior agreements or understandings.
